These Terms of Service ("Terms") govern your access to and use of the website, products, and services provided by SATORI WORLD LLC ("Satori AI," "we," "us," or "our"), including our AI-powered conversational assistant services. By accessing or using our services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our services.

1. Description of Services

Satori AI provides AI-powered conversational assistant services designed for local service businesses, including but not limited to tattoo studios, medical spas, and home service providers. Our services include:

  • AI assistant setup and training: We configure an AI conversational assistant customized to your business, trained on the information you provide about your services, pricing, and booking preferences
  • Multi-channel message handling: Your AI assistant responds to customer inquiries across channels including Instagram DMs, text messages, website chat, missed calls, Google Business messages, Facebook Messenger, and email
  • Lead qualification and booking: Your AI assistant qualifies prospective customers and facilitates appointment scheduling based on your preferences
  • Deposit collection: Your AI assistant can facilitate deposit collection through integrated payment processing

2. Account Registration

To use our services, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

You must be at least 18 years old to create an account and use our services.

3. Subscription and Payment

Pricing

Our services are offered on a monthly subscription basis. Pricing details are provided during the onboarding process or on our pricing page. All prices are in US dollars unless otherwise stated.

Billing

Subscription fees are billed in advance on a monthly or annual basis through Stripe, our payment processor. By subscribing, you authorize us to charge your designated payment method for the applicable fees.

Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting us. Upon cancellation, your service will remain active until the end of your current billing period. We do not provide refunds for partial billing periods.

Changes to Pricing

We reserve the right to modify our pricing at any time. We will provide at least 30 days' notice before any price increase takes effect. Continued use of our services after a price change constitutes acceptance of the new pricing.

4. Your Responsibilities

When using our services, you agree to:

  • Provide accurate and complete business information for AI assistant training, including your services, pricing, policies, and booking preferences
  • Review and approve the responses and behaviors of your AI assistant during the onboarding period
  • Notify us promptly of any changes to your business information, pricing, or availability
  • Not use our services for any unlawful, fraudulent, or harmful purpose
  • Not attempt to reverse engineer, decompile, or extract the source code of our AI technology
  • Not use our services to send spam, unsolicited messages, or messages that violate applicable laws
  • Comply with all applicable laws and regulations, including those related to consumer protection, data privacy, and electronic communications

5. AI Assistant Limitations

You acknowledge and agree that:

  • The AI assistant is a tool designed to assist with customer communications and does not replace professional judgment or human oversight
  • While we strive for accuracy, the AI assistant may occasionally provide incorrect, incomplete, or inappropriate responses
  • You are responsible for monitoring your AI assistant's performance and notifying us of any issues
  • We recommend periodic review of your AI assistant's conversations to ensure quality and accuracy
  • The AI assistant's performance depends on the quality and completeness of the business information you provide
  • We are not responsible for any lost revenue, missed appointments, or customer dissatisfaction resulting from AI assistant responses

6. Intellectual Property

Our Property

All aspects of the Satori AI platform, including our software, algorithms, AI models, designs, text, graphics, and trademarks, are owned by SATORI WORLD LLC and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use our services during your subscription period.

Your Content

You retain ownership of all business information, content, and data you provide to us ("Your Content"). By providing Your Content, you grant us a limited license to use it solely for the purpose of providing and improving our services, including training and operating your AI assistant.

7. Confidentiality

We treat your business information as confidential. We will not disclose your business-specific training data (pricing, policies, booking preferences) to third parties except as necessary to provide our services or as required by law. We will not use your business information to train AI assistants for competing businesses.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Satori AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, whether arising from contract, tort, or otherwise, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Satori AI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.

10. Termination

We may suspend or terminate your access to our services immediately, without prior notice, if you breach these Terms or if we reasonably believe your use of our services may cause harm to us, other users, or third parties.

Upon termination, your right to use our services ceases immediately. Sections 6, 7, 8, 9, and 12 shall survive termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be resolved through binding arbitration in Utah County, Utah, in accordance with the rules of the American Arbitration Association.

13. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Satori AI regarding our services.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
